These Terms of Service ("Terms") govern your use of www.tdgcreative.com, our online design tools, our promotional products store at promo.tdgcreative.com, and any fundraising or spirit-wear stores we operate (together, the "Site"), and any products or services you order from TDG Creative, LLC ("TDG Creative," "we," "us," or "our").

By using the Site or placing an order, you agree to these Terms. If you do not agree, please do not use the Site.

1. Eligibility

You must be at least 18 years old to place an order or enter into these Terms. If you are using the Site on behalf of an organization (such as a school, booster club, PTA/PTO, business, or corporation), you represent that you are authorized to act on that organization's behalf.

2. Our services

TDG Creative provides custom apparel, branded merchandise, promotional products, event displays and signage, and related design and fulfillment services, including online design tools and online fundraising and spirit-wear stores. Descriptions, images, and pricing on the Site are for general information and may change without notice.

3. Quotes and orders

Quotes are estimates and are valid for the period stated, or if none is stated, for a reasonable time. An order is not binding until we accept it and, where applicable, you have approved a final proof and payment terms are agreed. We may decline or cancel any order at our discretion, including for suspected fraud, product unavailability, pricing errors, or content we consider inappropriate (see Section 6).

4. Pricing, payment, and taxes

Prices are in U.S. dollars and may change without notice until an order is accepted. You are responsible for applicable taxes, shipping, and any setup, artwork, or rush fees quoted for your order. Payment terms will be provided with your quote or at checkout. Payments made through the Site or our store platform are processed by third-party payment processors, and your use of those services is subject to their terms.

5. Custom products, proofs, and production

Many of our products are custom-made to your specifications. You are responsible for reviewing and approving proofs before production. Once you approve a proof, you are responsible for its content, including spelling, layout, colors, and design. Because of the nature of printing and manufacturing:

6. Your content and artwork

License to us. When you upload or submit artwork, logos, text, images, or other materials ("Customer Content"), you grant TDG Creative a non-exclusive license to use, reproduce, modify, and display that content as needed to prepare proofs, produce your order, and fulfill our services.

Your responsibility and warranties. You represent and warrant that you own or have all rights, licenses, and permissions necessary to use and reproduce your Customer Content, including any names, logos, trademarks, mascots, copyrighted materials, or likenesses it contains. You are solely responsible for obtaining any permissions required (for example, from a school, brand, league, or other rights holder).

Indemnification. You agree to defend, indemnify, and hold harmless TDG Creative from any claims, damages, or expenses arising out of Customer Content you submit or your breach of these warranties.

Content we may decline. We may decline to produce any order or content that we believe is unlawful, infringing, defamatory, obscene, hateful, or otherwise inappropriate.

7. Our intellectual property

The Site and its content, including our logo, text, graphics, design gallery, and software, are owned by TDG Creative or our licensors and are protected by intellectual property laws. Except for Customer Content, you may not copy, reproduce, or use our content without our permission. Designs we create for you may be subject to the terms of your specific order.

8. Fundraising and spirit-wear stores

For online fundraising and spirit-wear stores, the sponsoring organization is responsible for approving designs, providing accurate organization information, and confirming that it has the right to use any names, logos, and marks in the store. Profit-sharing, payout, and store timing terms will be set out in your store agreement or order confirmation.

9. Promotional products store

Purchases made through our promotional products store at promo.tdgcreative.com may be operated on a third-party platform and may be subject to that platform's terms and policies in addition to these Terms. Please review any additional terms presented at checkout.

10. Shipping and delivery

Delivery dates are estimates and are not guaranteed unless expressly agreed in writing. We are not responsible for delays caused by shipping carriers, supply issues, incorrect information you provide, or events beyond our reasonable control. Risk of loss passes to you upon delivery to the carrier unless otherwise agreed.

11. Cancellations, returns, and refunds

Because our products are custom-made and produced to order, orders generally cannot be canceled once production has begun and are not eligible for return or refund, except where an item is defective or does not match your approved proof due to our error. If you believe there is a problem with your order, contact us promptly (see Section 20) so we can work to make it right.

12. Disclaimers

THE SITE AND OUR PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, TDG CREATIVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or secure.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TDG CREATIVE AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR OUR PRODUCTS OR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE ORDER GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless TDG Creative from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site, your Customer Content, or your violation of these Terms.

15. Third-party links and services

The Site may contain links to third-party websites and services that we do not control. We are not responsible for their content, products, or practices, and your use of them is at your own risk.

16. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

17. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Texas, and you consent to their jurisdiction.

18. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site after changes take effect means you accept the updated Terms.

19. General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a business transfer. These Terms are the entire agreement between you and TDG Creative regarding the Site and supersede any prior agreements on that subject.
